Organizational Structure

Strategic Divisions

The operating architecture of Inventure Group is organized around six P&L-accountable Strategic Divisions. Each division operates with its own leadership, investment strategy, and operational framework — allowing for focused execution, clear capital accountability, and institutional governance across all markets.

The Three-Tier Operating Model

Inventure Group is organized into three governance tiers that separate ownership and strategy from capital allocation, and capital allocation from operating execution. This eliminates overlap between business units and resolves naming ambiguity, while giving each platform a defined mandate.

TIER 1 — GROUP HOLDING
Inventure Group Holding
The sovereign majority-owned, privately held parent. Owns the divisions and sets group strategy, governance, the ESG & green-finance mandate, and group-wide capital allocation. Houses the Office of the Chairman & CEO, the Group Investment Committee, Group COO, Group Finance, Treasury, Risk, Legal & Compliance.
TIER 2 — SIX STRATEGIC DIVISIONS
Division CEOs / Managing Directors
Each division is a P&L-accountable platform led by a Division CEO or Managing Director, with a dedicated investment thesis, allocated balance sheet, and operating framework. The six divisions map onto how capital and risk naturally cluster across the Group.
TIER 3 — BUSINESS UNITS
General Managers
Operating companies sit beneath each division, led by General Managers responsible for day-to-day execution and delivery against division strategy and KPIs.

Governance & Reporting Model

Governance flows downward from the Holding board through the Group Investment Committee to the divisions; performance and risk reporting flow upward on a fixed cadence. The model separates strategic oversight from operational delegation so that divisions execute with autonomy while the Centre retains control of capital, risk, and standards.

Lines of Authority
Board of Inventure Group Holding — sets group strategy, approves the annual capital-allocation plan, and ratifies major investments and divestments above defined thresholds.
Group Investment Committee (GIC) — the central capital-allocation body. Reviews and approves division business plans, individual deals above delegated limits, and cross-division initiatives.
Division CEOs / Managing Directors — hold full P&L accountability for their platform, manage allocated capital within delegated authority, and report to the GIC and Holding board.
Business Unit General Managers — lead operating companies and deliver against division strategy, budgets, and KPIs.
Group Shared Functions

Five centralized functions set group-wide standards and provide assurance across every division. These functions report to the Centre, not to the divisions, preserving independence.

Holding Board Quarterly Strategy, capital plan, major approvals, risk appetite
